RESULTS OF GENERAL MEETING AND SALIENT DATES RELATING TO THE JSE
SECONDARY LISTING AND JSE PRIVATE PLACEMENT

Capitalised terms not defined herein have the same meaning given to them in the Pre-Listing
Announcement released on 28 February 2017.

The Company is pleased to announce that at a general meeting of the Company held on 22
March 2017 the resolutions to approve the amended investment objective and policy, the
related party transaction, the allotment of up to 250 million ordinary shares in the Company
on a non pre-emptive basis in connection with the initial placing, offer for subscription, private
placement and/or the share issuance programme and the new articles of association, each as
set out in the circular to shareholders dated 3 March 2017 (the "Circular"), were duly approved
by shareholders.

Details of the proxy votes lodged before the general meeting, which should be read alongside
the Notice contained in the Circular, are noted below and will be available shortly at

SALIENT DATES RELATING TO THE JSE SECONDARY LISTING AND JSE PRIVATE
PLACEMENT

The JSE Private Placement is currently open and is expected to close at 12:00 SA time on 29
March 2017.

The price at which the New Shares will be issued under the JSE Private Placement will be
equal to the ZAR equivalent of the UK Initial Placing and Offer Price of 107.75 pence per
New Share translated at the ZAR/GBP spot rate at the closing of the offer (the “JSE Private
Placement Price”). Successful applications will also be advised of allocations on 29 March
2017.

The New Shares will be entitled to receive the interim dividend of 1.55p per Ordinary Share
in respect of the period 1 October 2016 to 31 December 2016 which will be paid on Friday, 5
May 2017 provided the holders of the New Shares are on the Register on Friday, 7 April
2017.
