CHANGE IN SHAREHOLDING NOTIFICATION, AS REQUIRED UNDER SECTION
122 OF THE COMPANIES ACT, 71 of 2008, AS AMENDED

Shareholders are referred to the results of the Rights Offer
announcement released by Steinhoff on the Stock Exchange News
Service (“SENS”) of the JSE Limited (“JSE”) earlier today.

In accordance with section 122(3)(b) of the South African
Companies Act, No. 71 of 2008 as amended, and section 3.83(b)
of the JSE Listings Requirements, shareholders are hereby
advised that the Company has received notification in the
prescribed form from the Public Investment Corporation (“PIC”)
that, as a result of the Rights Offer, the PIC’s interest in
the ordinary shares of the Company has decreased from
16.471% to 14.598%.
