RESULTS OF GENERAL MEETING                                                      
Shareholders are advised that all of the resolutions proposed in relation to the
implementation of the acquisition by the company of a significant controlling   
stake in CICL Investment Holdings (Proprietary) Limited and the specific issue  
of shares for cash were passed by the requisite majority of Conduit Capital     
shareholders at the general meeting held on Wednesday, 23 August 2006.          
The acquisition remains conditional upon approval from the Financial Services   
Board.
