Harmony Gold Mining Company Limited (NYSE: HMY JSE: HAR) today announced the
restructuring of its Board following the merger with ARMgold Limited. Mr Adam
Fleming has resigned as non-executive chairman of Harmony and has been succeeded
by Mr Patrice Motsepe. Mr John Smithies" resignation as non-executive director
was also accepted.
The resignations of Mr Adam Fleming and Mr John Smithies were effective 22
September 2003 and the appointment of the new directors (see below), including
Mr Patrice Motsepe, were effective 23 September 2003, which appointments are to
be confirmed by shareholders at Harmony"s annual general meeting on 14 November
2003.
Dr Manana Bakane -Tuoane, Mr Michael King, Mr Cedric Savage, Dr Sibusiso Sibisi
and Dr Rejoice Simelane were appointed as non-executive directors. Messrs
Mangisi Gule, Dan Simelane, Pieter Taljaard and Andre Wilkens have joined the
Harmony Board as executive directors. The Harmony Board therefore now comprise
10 independent non-executive directors and 9 executive directors.
Through the merger with ARMgold, we"ve created South Africa"s largest gold

Dr Manana Bakane-Tuoane has extensive experience in the economic disciplines as
lecturer and professor at the University of Fort Hare, Eastern Cape. She has
held various senior management positions in the public service and currently
holds the post of Director General in the North-West Provincial Government.
Mr Michael King served articles with Deloitte, Plender, Griffiths, Annan & Co.
(now Deloitte & Touche) and qualified as a Chartered Accountant (SA). In 1961,
he joined the Merchant Bank, Union Acceptances Limited. Mr. King then joined
Anglo American Corporation of South Africa where in 1979, he became Director of
Anglo American Corporation. In 1997, he was appointed Executive Deputy Chairman
of Anglo American Corporation. Mr. King was the Executive Vice Chairman of Anglo
American plc, the company created when Minorco and Anglo American Corporation
were combined in May 1999, until his retirement in May 2001. He serves as non-
executive director of a number of companies including FirstRand, FirtsRand Bank
Holdings, Anglo American Platinum Corporation and The Tongaat-Hulett Group.
Mr Cedric Michael Savage commenced his career in the United Kingdom in 1960 as a
graduate engineer with Fairey Aviation and in 1963 returned to South Africa
where he worked in the oil (Mobil), textile (Felt & Textiles) and the chicken
(Rainbow Chickens Limited) industries. In 1993/1994, he was appointed President
of the South African Chamber of Business. He has also served as Chairman of the
Board of Governors on the Natal University Development Foundation and as a
member of Council of the University of Natal. He joined the Tongaat-Hulett Group
in 1977 as Managing Director of Tongaat Foods and thereafter progressed to
Executive Chairman of the Building Materials Division and then to CEO of The
Tongaat-Hulett Group Limited in 1991. He retired as executive director in 2002,
remaining as non-executive chairman of the Group. He is also a director of AECI,
Delta Motor Corp, Datatec, Kumba Resources and Nedcor.
Dr Sibusiso Sibisi is President and CEO of the Council for Scientific and
Industrial Research, South Africa (CSIR, SA). In 1997, he joined Plessey South
Africa as Executive Director (R&D). In January 2000 he became Deputy Vice
Chancellor for Research and Innovation, University of Cape Town. He moved to his
current position at the CSIR in January 2002.He served as Chairperson of the
National Advisory Council on Innovation (NACI) from 1998 to 2001. He is also the
Chairperson of the Tellumat Board and sits on the Boards of African Rainbow
Minerals Gold Limited (ARMgold), Denel and the State Information Technology
Agency (SITA). He co-founded iThemba Pharmaceuticals (Pty) Ltd in 2001
Dr Rejoice Simelane"s career commenced as a lecturer at the University of
Swaziland where she lectured from 1978 to 1997 on Development Economics,
Microeconomic and Macroeconomic Theory, Research Methods, Mathematical
Economics, Econometrics, Economic Planning and Economic Integration. She then
joined the Department of Trade and Industry as a macroeconomist and later joined
the National Treasury as a micro-economist (public utility regulation and
pricing) before joining the Premiers Office in the Mpumalanga Province as an
Economic Advisor.
Mangisi Gule has 23 years" experience in training and human resources and is a
member of the Association of Mine Human Resource Practitioners. He oversees the
company"s human resources and communication activities.
Dan Simelane has seven years" legal experience and acted as legal advisor to
Avmin Limited and the Swaziland Electricity Board. He has extensive tax
experience and was a senior tax consultant with Arthur Andersen.
Pieter Taljaard has 33 years" experience in commerce, 25 of which have been in
the mining industry. His mining career commenced in 1977 with Gencor Limited
("Gencor"), where he worked as a senior manager in the finance department. He
was subsequently appointed as a director/alternate director to a number of
companies controlled by Gencor. These included, amongst others, Buffelsfontein
Gold Mining Company Limited ("Buffelsfontein"), Stilfontein Gold Mining Company
Limited; Beatrix Gold Mines Limited ("Beatrix") and Barberton Mines Limited. He
was instrumental in creating the tax structure between Buffelsfontein and
Beatrix and formed part of a team that investigated and recommended future
management information systems at Gengold Limited, subsidiary of Gencor. Mr.
Taljaard also chaired the committee responsible for implementing systems at
Gengold. He joined ARMgold in 1997 as financial director.
Andre Wilkens has 33 years" mining experience. He commenced his career in 1969
as a trainee miner. He was promoted to mine manager at the Vaal Reefs West mine
in 1994 and appointed mine manager of the Vaal Reefs South mine in 1996. Before
joining ARMgold in 1998, he was manager of North Operations (Vaal Reefs) and the
Managing Director of Naledi Mining Services, then, a wholly-owned subsidiary of
Vaal Reefs. He has a successful mining and management track record of turning
around marginal mines into profitable units. He also played a leading role in
determining new operating methods for South African mines. Andre was appointed
chief executive officer of African Rainbow Minerals Gold in 1998, a position he
held until the merger with Harmony.
