VOLUNTARY ANNOUNCEMENT: ACQUISITION OF THE PIONEER FOODS WELLINGTONS
PROPRIETARY LIMITED BUSINESS NOW UNCONDITIONAL


Shareholders are referred to the announcement released on the Stock Exchange News Service of the JSE
Limited on 6 July 2021 ("Acquisition Announcement") regarding the Company’s wholly owned subsidiary,
RFG Foods Proprietary Limited ("RFG Foods"), having concluded an agreement relating to the acquisition
by RFG Foods of the frozen foods business of Pioneer Foods Wellingtons Proprietary Limited
(the "Acquisition"), which Acquisition was subject to the fulfilment or waiver of certain conditions
precedent.

The Company’s board of directors is pleased to advise that the Competition Commission has approved the
Acquisition subject to public interest conditions which are acceptable to both parties.

As all the conditions precedent have now been fulfilled, the Acquisition has become unconditional. The
effective date of the Acquisition is 1 December 2021.
