CHANGE IN DIRECTORSHIP

In accordance with paragraph 3.59 of the JSE Listings Requirements, shareholders are advised that
Mr Matimba Mbungela has resigned from the Board and Ms Tersha Walljee has been appointed as a
non-executive director, with effect from 24 January 2022.

The appointment of Ms Walljee and the resignation of Mr Mbungela follows the resignation of Mr
Mbungela as the Chairman of the Vodacom Employee Trust (“Siyanda”). Ms Walljee is being appointed
as a shareholder representative of Siyanda on the YeboYethu Board, having been a trustee since its
inception and recently being appointed as the Chairman of Siyanda. In terms of the company’s
memorandum of incorporation, every shareholder shall be entitled to nominate one director for
appointment to the board for every 10% of the issued ordinary shares of the company held individually
by that shareholder.

Tersha has been the Managing Executive of rewards and benefits for Vodacom Group since 2014 and
is responsible for providing thought leadership and deep technical expertise in reward, recognition and
benefits strategy for Vodacom Group across their footprint in Africa. During her time at Vodacom, she
has served as a non-executive director on the board of Xlink Communications Proprietary Limited and
on the remuneration committees of various Vodacom operating companies and the Vodacom Group
Pension and Provident Funds. Prior to joining Vodacom, Tersha was employed by Pepsico as
compensation and benefits director based in Dubai. She has spent most of her career in multinational
consumer goods companies such as Kelloggs and Kraft Foods (Mondelez) in the compensation and
benefits field.

The Board thanks Mr Mbungela for his contribution to the company over the past five years and
welcomes Ms Walljee to the Board.
