                                                 2020 NOTICE OF ANNUAL GENERAL MEETING

South32 Limited (ASX, LSE, JSE: S32; ADR: SOUHY) (South32) today releases its Notice of Annual General Meeting
and sample Proxy Form for the 2020 Annual General Meeting.

To protect the health and safety of our Shareholders and staff, and to allow more Shareholders to attend the Meeting,
we will hold a fully virtual Meeting, which means there will not be a physical venue for Shareholders to attend.
The meeting will be held on Thursday, 29 October 2020 at midday (12 noon AWST).

Further details regarding the AGM and how to attend using the virtual meeting technology is available in the Notice of
Meeting. The link to the Notice of Meeting will be emailed today to those members who have elected to receive
electronic communications and the notice of access letter (for holders on the Australian and South African registers)
and the voting direction/instruction form (for Depositary Interest holders) will be dispatched by post no later than 25
September 2020 for all other members.

A copy of the Notice of Annual General Meeting is available on our website www.south32.net and will be submitted to
the National Storage Mechanism and available for inspection at: www.morningstar.co.uk/uk/NSM.
