DEALINGS IN SECURITIES

company secretary of Nampak and directors of major subsidiaries of
Nampak in terms of the rules of Nampak’s Deferred Bonus Plan 2009
(“DBP”) and Performance Share Plan 2009 (“PSP”).

The purpose of the DBP is to encourage senior executives to use part of
their annual bonus for the purpose of acquiring shares in the Company.
Matching shares will be awarded and, based on the number of shares held
by the relevant employees, released on the vesting date, being three
years from purchase.    The DBP has a retention effect and encourages
share ownership in the Company.
