Changes to the Board of Directors EOH HOLDINGS LIMITED Incorporated in the Republic of South Africa (Registration number 1998/014669/06) Share code: EOH ISIN: ZAE000071072 (“EOH” or “the Group”) CHANGES TO THE BOARD OF DIRECTORS Further to the announcement released on SENS on 15 February 2019, wherein it was stated, inter alia, that EOH would shortly be announcing changes to the board of directors (“Board”) to more closely align the Board with King IV, the Board, in compliance with paragraph 3.59 of the Listings Requirements of JSE Limited hereby notifies its shareholders of the following changes: - In accordance with King IV, a former CEO should not serve as chairman of the board until a three-year cooling off period has been observed. Accordingly, Mr Asher Bohbot, founder, non-executive chairman and CEO for 19 years, will be resigning from the Board effective 28 February 2019. Mr. Bohbot will, on an advisory basis, assist the Group until 31 July 2019 in the implementation of the strategy shared with the market recently. Mr. Bohbot says: “I have confidence in EOH’s management and believe that the new strategy, which is in advanced stages of implementation, will be beneficial to all our stakeholders.” - In order to comply with King IV’s stipulation on board member independence, Mr. Rob Sporen, founding member of EOH and non-executive director, will be resigning from the Board after 20 years of service to the Group, effective 28 February 2019. The directors thank Mr Sporen for his great service, vision and contribution to EOH over these years. He has been instrumental in building EOH and the Board wishes him all the best in his retirement. - Prof. Tshilidzi Marwala, non-executive director, will be resigning from the Board effective 28 February 2019. The Board thanks Prof. Marwala for his eleven years’ service on the Board. Prof. Marwala’s insight, knowledge and understanding of our industry has been extremely valuable to the Group. Prof. Marwala’s resignation is also aligned with King IV’s stipulation on board member independence. - Ms Tebogo Maenetja, HR executive director, will be resigning from the Board effective 31 March 2019. Ms Maenetja will leave EOH at the end of April 2019 in order to assume a senior executive position with a large international business. We thank Ms Maenetja for her valued contribution in managing the HR function and wish her all the best in her new position. The people of EOH and the Board, thank these members of the Board and wish them well in their future endeavours.
