Background:
The Kumane Trust and Pimlico Investment Trust (together the “Lender Trusts”) each loaned R500,000 to Math-
Pin Trust on 29 August 2018. An agreement was concluded on 19 December 2018 where Math-Pin Trust
transferred 2 200 000 Bauba shares on 20 December 2018 to each of the Lender Trusts in settlement of its
outstanding loan balances plus capitalised interest. Math-Pin Trust has an option to repurchase the above
transferred shares at the amount which would have been outstanding in respect of the capitalised loans
exercisable up to 29 March 2019.
