APPOINTMENT OF JOINT EQUITY SPONSORS

Shareholders are hereby advised that J.P. Morgan Equities South Africa
Proprietary Limited (“J.P. Morgan”) and Tamela Holdings Proprietary
Limited (“Tamela”) have been appointed as Joint JSE Equity Sponsors
to MTN with effect from 01 December 2018.

J.P. Morgan will act as lead JSE Equity Sponsor to MTN for the first
12 months of its appointment and Tamela will alternate as lead JSE
Equity Sponsor for the next 12 months.

About Tamela
Tamela is a leading black owned and managed corporate finance advisory
company and JSE Sponsor. Tamela’s service offering includes, inter
alia, M&A Transactions, Capital Raising, Debt Capital Markets and BEE
transactions. MTN has a longstanding relationship with Tamela, through
the services which Tamela provided to MTN Zakhele from 2013, which
included ground-breaking amendments to the then JSE Listings
Requirements culminating in the successful listing of MTN Zakhele on
the JSE BEE Segment in 2015.

Deutsche Securities (SA) Proprietary Limited has resigned as JSE
Equity Sponsor to the Company with effect from 30 November 2018 due
to changes in Deutsche Bank’s business model in South Africa.

The Company welcomes the new Joint JSE Equity Sponsors and looks
forward to a collaborative working relationship. The Company wishes
to thank Deutsche Securities for its long service.
