Change to the board of directors
In accordance with the Listings Requirements of the JSE Limited, Adcock Ingram’s shareholders are hereby
notified that on Monday, 21 November 2018, Mr Mpho Makwana tendered his resignation as a non-executive
director of Adcock Ingram, a member of the HR, Remuneration and Nominations Committee and Chairman of
the Social, Ethics and Transformation Committee, with immediate effect. Consequently, ordinary resolution
number 1.3 in the Notice convening the Annual General Meeting has been withdrawn.
Mr Makwana was elected a non-executive director of Adcock Ingram on 01 February 2012 and subsequently
became the Chairmn of the Social, Ethics and Transformation Committee and HR, Remuneration and
Nominations Committee. He later resigned as the Chairman of the HR, Remuneration and Nominations
Committee, but remained a member.
Mr Makwana guided the Social, Ethics and Transformation Committee from its inception commendably and
the Company is sincerely grateful to him for his contribution and leadership and wishes him well in his future
endeavours.
The board of directors of Adcock Ingram will make an announcement regarding the chairmanship of the Social,
Ethics and Transformation Committee in due course.
