NOTIFICATION OF TECHNICAL AND REGULATORY UPDATE IN RELATION TO ABSA BANK
LIMITED’S ZAR40,000,000,000 MASTER STRUCTURED NOTE PROGRAMME


In terms of the JSE Limited’s (JSE) Debt Listings Requirements, Noteholders are advised that the Issuer’s
ZAR40,000,000,000 Master Structured Note Programme has been updated by an amended and restated
Programme Memorandum dated 27 October 2015 (originally dated 21 October 2013), which was approved
by the JSE on 09 November 2018 (the “Programme Memorandum”).


The Programme Memorandum is available for inspection on the Issuer’s website at the following link:

The update extends to ordinary Notes and Credit Linked Notes that may be issued under the Programme
Memorandum, as well as to the outstanding Notes as at the date of this update.


The update of the Programme Memorandum included:


    1. Updating the Programme Memorandum from a technical and regulatory perspective in order to comply
       with the amendments to the JSE Debt Listings Requirements that came into effect on 30 October
       2017, as well as those amendments to the JSE Debt Listings Requirements that will come into effect
       on 15 October 2018;
    2. Updating the Programme Memorandum to comply with section 19 of the JSE Listings Requirements;
    3. Stipulating that Noteholders with Notes listed on the Main Board of the JSE may have recourse to the
       JSE Guarantee Fund Trust;
    4. Updating the Risk Factors section of the Programme Memorandum;
    5. Updating the Issuer Disclosure section of the Programme Memorandum; and
    6. Removing the specific Pro Forma Applicable Pricing Supplements of the 2003 Credit Linked Notes
       and the 2014 Credit Linked Notes respectively, and including in its place, one general updated Pro
       Forma Applicable Pricing Supplement for the Credit Linked Notes.
