APPOINTMENT OF INDEPENDENT NON-EXECUTIVE DIRECTOR AND CHANGE OF
RESPONSIBILITY OF A DIRECTOR

In terms of paragraph 3.59 of the Listings Requirements of the JSE Limited, DAWN shareholders are
advised of the following:

1.     APPOINTMENT OF INDEPENDENT NON-EXECUTIVE DIRECTOR

       The Company has appointed Mr. Martin Mota as an independent non-executive director of
       DAWN effective today, 13 November 2018.

       Martin is the founder of Mota Attorneys, a corporate commercial firm of attorneys based in
       Pretoria. Previously, Martin had been a partner at Adams & Adams Attorneys and the deputy
       chairman of their Commercial, Property and Litigation Department. Martin holds an LLB degree
       from Wits University as well as an LLM (commercial law) and an LLM (tax law), both from
       University of Pretoria.

       Martin specialises in the following areas of law: mergers and acquisitions, general corporate
       commercial law, B-BBEE, finance, tax and private equity.

       The board of directors welcomes Martin to the group and looks forward to his contribution.

2.     CHANGE OF RESPONSIBILITY OF A DIRECTOR

       Mr. Dinga Mncube, who is currently an independent non-executive director of DAWN, has been
       appointed as the lead independent director, effective today, 13 November 2018.
