 SECONDARY LISTING ON THE STOCK EXCHANGE OF MAURITIUS LTD

 1.     PSG Konsult has made an application to the Stock Exchange of Mauritius Ltd (“SEM”) regarding
        a secondary listing on the Official Market of the SEM, with a view to increasing the Company’s
        international presence. PSG Konsult is pleased to announce that the Listing Executive
        Committee of the SEM has today, 13 November 2018, granted permission for the secondary
        listing of PSG Konsult’s entire issued share capital, currently comprising 1 364 885 118 ordinary
        shares, on the Official Market of the SEM by way of introduction, under SEM share code
        PSGK.N0000 (the JSE and NSX share codes will remain unchanged) (“SEM Secondary
        Listing”).

 2.     The listing of PSG Konsult shares on the Official Market of the SEM will occur on Tuesday, 27
        November 2018. The SEM is regarded as one of the foremost Exchanges in Africa and is a fully-
        fledged member of the World Federation of Exchanges.

 3.     PSG Konsult, which is one of the largest independent intermediary financial services providers in
        South Africa and a leading independent financial services group, will retain its primary listing on
        the Main Board of the JSE Limited, as well as its existing secondary listing on the Namibian
        Stock Exchange. The Company has an extensive South African footprint, as well as a Namibian
        presence. It offers a unique value-orientated approach to its clients’ financial requirements and
        delivers a broad range of financial services and a full suite of financial products to individuals and
        enterprises, from asset and wealth management to insurance.

 4.     It is envisaged that the SEM Secondary Listing will:

 4.1.      enable PSG Konsult to raise its profile and brand in Mauritius;

 4.2.      reflect PSG Konsult’s position as a leading independent financial services group;
 4.3.      allow PSG Konsult access to capital markets in Mauritius in order to raise equity capital in
           future, if required;
 
 4.4.      ultimately serve to broaden PSG Konsult’s shareholder base by accessing a new pool of
           investors, thereby improving the liquidity of its shares over time; and

 4.5.      give the general public and potential investors in Mauritius an opportunity to acquire an equity
           stake in PSG Konsult and thereby share in its potential future success.

5.     PSG Konsult will not be undertaking a capital raise in conjunction with the SEM Secondary
       Listing. However, as indicated above, it is anticipated that the SEM Secondary Listing will allow
       PSG Konsult access to capital markets in Mauritius in order to raise equity capital in the future,
       should it wish to do so.

6.     As indicated above, the listing of PSG Konsult shares on the Official Market of the SEM will
       commence on Tuesday, 27 November 2018. The reference price of PSG Konsult shares on the
       SEM Official Market on the listing date of 27 November 2018 will be the United States Dollar
       (“USD”) equivalent of the last-traded Rand price on the JSE. The shares of the Company on the
       Official Market of the SEM will denominated in USD. Existing shareholders of the Company
       wishing to move PSG Konsult shares to the Company’s Mauritian share register should contact
       their financial and legal advisers and / or the Company’s South African transfer secretaries to
       assist them with this process.

7.     PSG Konsult has today, 13 November 2018, in compliance with Rule 15.21(A) of the SEM Listing
       Rules, issued an annex (“Annex”) to its pre-listing statement dated 9 June 2014, as published at
       the time of the Company’s listing on the JSE Main Board (“Initial Pre-listing Statement”). The
       Annex relates to the listing of the Company’s issued share capital on the Official Market of the
       SEM and provides information to the public and investors on the Company. The Annex does not
       constitute an invitation to the public to subscribe for shares in PSG Konsult.

8.     Copies of the Annex and the Initial Pre-listing Statement will be available on PSG Konsult’s
       website (https://www.psg.co.za/investor-relations/investors) and on the SEM’s website
       (www.stockexchangeofmauritius.com). In addition, copies of these documents will also be
       available for inspection during normal office hours, for a period of 14 days from today’s date, at
       the Company’s registered office at 4th Floor, The Edge, 3 Howick Close, Tyger Waterfront, Tyger
       Valley, South Africa and at the offices of the Company’s SEM authorised representative and
       SEM sponsor, Perigeum Capital Ltd, at Level 4, Alexander House, 35 Cybercity, Ebene 72201,
       Mauritius.
