POSTING OF CIRCULAR AND NOTICE OF MEETING
1. Posting of circular and notice of general meeting
Shareholders are referred to the announcement released on the Stock Exchange News Service ("SENS") of the JSE Limited
("JSE") and on the website of the Stock Exchange of Mauritius Ltd ("SEM") on 12 October 2018, detailing, inter alia, an update
in the investment strategy of the company and related amendments to the company's constitution, the proposed transfer of stated
capital to non-distributable reserves and subsequent return of up to EUR300 million to shareholders, a proposed change of name of
the company and consolidation of the share capital of the company on a 1 for 20 basis (the "proposals").
Greenbay has today posted a circular to its shareholders (the "circular") relating to the proposals, which circular contains a notice
convening a general meeting of Greenbay shareholders to be held at 12:00 Mauritian time (10:00 South African time) on Monday,
26 November 2018 at the company’s registered office, being at C401, 4 th Floor, La Croisette, Grand Baie, Mauritius, for the
purpose of considering, and if deemed fit, passing with or without modification, the resolutions required to approve the proposals.
Copies of the circular are available on the company's website at www.greenbayprop.mu/circular/ and may also be obtained from
the offices of the company secretary, Intercontinental Trust Limited, Level 3, Alexander House, 35 Cybercity, Ebene 72201,
Mauritius and the company’s South African transfer secretaries, Link Market Services South Africa Proprietary Limited, 13th
Floor, 19 Ameshoff Street, Braamfontein, Johannesburg, South Africa during normal business hours from
Monday, 29 October 2018 until Monday, 26 November 2018.
