UNBUNDLING OF GAMECO – IMPLEMENTATION GRAND OASIS CASINO, KURUMAN,
TRANSFER
Shareholders of Niveus (“Shareholders”) are referred to the SENS announcements released by
Niveus on 30 October 2017 relating to the distribution by Niveus of its South African gaming
interests (other than its sports betting and lottery interests) (“Transaction”) held in Niveus Invest
19 Limited (since converted to a private company and renamed Tsogo Sun Alternative Gaming
Investments Proprietary Limited) (“Gameco”) and specifically to the addendum to the Transaction
relating to Niveus Invest Proprietary 1 Limited (“Niveus Invest”), the entity which houses the
Grand Oasis Casino, Kuruman (“Addendum”).
Shareholders are hereby advised that the condition precedent to the Addendum was met on 15
June 2018. Accordingly, Niveus transferred the entire share capital of Niveus Invest, to Tsogo
Sun Holdings Limited’s wholly owned subsidiary, Gameco on 15 June 2018 in accordance with
the terms announced.
