Black Economic Empowerment (“BEE”)Transaction


BEE Shareholder Transaction
Shareholders are advised that the vendor (the promoter) is to sell 235 million Go Life International shares, listed 
on the Alternative Exchange (“Altx) of the Johannesburg Stock Exchange(“JSE”), representing 26% in Go Life International, 
to South African based Caligraph Proprietary Limited (“Caligraph”), a BEE company. On receipt of the payment from Caligraph, 
the promoter agreed to make these funds available on a loan account to Go Life International for growth of the Group.

Caligraph is private investment holding company focused largely on BEE opportunities in South Africa. It identified a unique 
opportunity in GLI to play a significant role in the pharmaceutical and nutraceutical industry in South Africa and abroad, both
as an investor and as the facilitator of black empowerment within Go Life Healthcare LTD (“GLH”).

One of GLI’s strategic objectives is the implementation of a broad-based BEE structure that will result in approximately 26% of 
the Company’s equity and voting rights being beneficially held by black people. Moreover, the Company recognises the need to 
address the lack of participation by black women and broad-based structures.

Caligraph intends to work with management to provide GLH with the appropriate BEE credentials and to enhance the future strategy 
for GLH to pursue organic and acquisitive growth and extension of the value chain, both up-stream through the acquisition of 
pharmaceutical registrations and down-stream through acquisitions or the creation of start-up value-adding pharmaceutical businesses.
GLH also intends to grow sales in the increasingly attractive South African market and to grow its foreign trade. 

Appointment of Director to the GLH Board
Shareholders are advised that pursuant to the above BEE Transaction, Mr Mxolisi Motau (“Mxolisi”) has been appointed as a non-executive
director of GLH with effect from 3 April 2018, as a representative of Caligraph.

Mxolisi is B.Com graduate from the University of Witswatersrand and holds a Masters in Business Administration, which he completed in 
2006 at the Gordon Institute of Business Science. The Board welcomes Mxolisi and looks forward to his contributions to the Company.

Go Life Healthcare is a 100% subsidiary of Go Life International.

Go Life International has its primary listing on the Stock Exchange Mauritius and a secondary listing on the AltX of the JSE.
