CHANGE IN DIRECTORATE
In terms of paragraph 3.59 of the Listing Requirements of the JSE Limited, shareholders are advised
of the following changes to the board of directors (“Board”):
Appointments
Mr Vusumuzi (Vusi) Phillip Khanyile has been appointed to the Board as an Independent Non-
Executive Director with effect from 23 April 2018.
Mr Khanyile holds a B.Com (Honours) in Accounting and Finance from the University of Birmingham,
a Fellowship in Development Finance from Princeton University and an Honorary Doctorate from
Walter Sisulu University. Mr Khanyile was part of the team that established Thebe Investment
Corporation in 1992. The Thebe group, under the leadership of Mr Khanyile has been in involved in
and been awarded several large commercial transactions. He has served as director on a number
of listed and unlisted companies. Mr Khanyile also served as a director of Santam from 16 April 2010
to 29 May 2013, and was chairperson from 2 June 2010 to 29 May 2013.
Mr Junior John Ngulube has been appointed to the Board as a Non-Executive Director with effect
from 23 April 2018.
Mr Ngulube holds a Bachelor of Science in Agriculture (Hons) from the University of Zimbabwe,
Master of Science in Agriculture from the Pennsylvania State University and a Diploma in Financial
Management. Mr Ngulube is the Chief Executive Officer of Sanlam Emerging Markets and a member
of the Sanlam Executive Committee. He has previously served as the Chief Executive Officer of sub-
Saharan operations at Munich Reinsurance Company of Africa and spent 28 years in various
positions within the Munich Re group, including two years at the Group head Office in Munich .
The Board looks forward to the contribution of the new directors.
These abovementioned directors will be up for re-election at the Annual General Meeting scheduled
for 30 May 2018 in terms of Santam’s Memorandum of Incorporation.
Change to the function of a director
Ms NV Mtetwa has been appointed to serve on the Company’s Investment Committee.
