CAUTIONARY ANNOUNCEMENT


In light of its share price, Resilient considers it prudent to commence negotiations with the trustees of and other lenders
to the Siyakha Education Trusts (“trusts”) regarding all loans to the trusts and underlying collateral. Resilient is unable
to control all participants in the negotiations regarding confidentiality and, as the outcome of the negotiations may
impact the distributable earnings of Resilient, advises shareholders to exercise caution in their dealings in Resilient
securities.
