                         NOTIFICATION OF RESIGNATION OF AUDITOR


1.      Shareholders of Avior Holdings (“Shareholders”) are advised in accordance with paragraph
        3.78 of the JSE Limited (“JSE”) Listings Requirements (“the Listings Requirements”) that, PKF
        (vga) Chartered Accountants (“PKF”), has resigned as the Company’s external auditors with
        effect from 7 February 2018.

2.      Shareholders should note that the resignation of PKF was pursuant to the board of directors
        of Avior Holdings (“the Board”) communicating to PKF that the Company is considering
        changing its external auditors. PKF also indicated in its resignation correspondence that, due
        to an internal reorganisation within PKF, it was unable to devote sufficient time to the affairs
        of Avior Holdings.

3.      PKF has further confirmed to the JSE that there are no matters in connection with their
        resignation that need to be brought to the attention of the Shareholders.

4.      Shareholders are further advised that the Company had already commenced with a
        procurement process for the appointment of a new external auditor (“Auditor Procurement
        Process”). As at the date of this announcement, the Auditor Procurement Process has not
        been completed and the Company will announce further details relating to the outcome of
        the Auditor Procurement Process as soon as it is able to do so.
