FINALISATION ANNOUNCEMENT AND REVISED SALIENT DATES AND TIMES REGARDING THE SCHEME


1.   Introduction

     Buildmax Shareholders are referred to the announcement released on SENS on 24 November 2017
     regarding, inter alia, that the circular (“Circular”) containing details of the Scheme and a notice
     convening a meeting of the Buildmax Shareholders ("Scheme Meeting") was posted to Buildmax
     Shareholders on Friday, 24 November 2017. The Circular was also available on the Buildmax
     website (http://www.buildmax.co.za/).

2.   Fulfilment of Suspensive Conditions and Important Dates and Times

     Buildmax is pleased to advise that all suspensive conditions to the Scheme have been fulfilled or
     waived earlier than anticipated and that the Scheme is therefore fully unconditional. Shareholders
     are advised that the Scheme will now be implemented in accordance with the following revised
     Salient Dates and Times.

     Words and expressions in the Timetable and the notes thereto shall have the same meanings as
     assigned to them in the Circular.

Scheme LDT, being the last day to trade Buildmax Shares on the JSE in           Tuesday, 30 January
order to be recorded in the Register to be entitled to receive the Scheme
Consideration, on
Suspension of listing of Buildmax Shares on the JSE at the commencement       Wednesday, 31 January
of trade on
Scheme Consideration Record Date, being the date on which Scheme                   Friday, 2 February
Participants must be recorded in the Register to receive the Scheme
Consideration, by close of trade on

3. Buildmax Shares may not be dematerialised or rematerialised after the Scheme LDT, which is
