TRP121: NOTIFICATION OF AN ACQUISITION OF AN INDIRECT BENEFICIAL INTEREST IN SECURITIES


In compliance with section 122(3)(b) of the Companies Act 71 of 2008 (“the Companies Act”), regulation 121(2)(b)
of the Companies Act Regulations 2011 and paragraph 3.83(b) of the JSE Listings Requirements, shareholders are
advised that Hospitality has received notification from Hosken Consolidated Investments Limited (“HCI”), of the
increase in HCI’s indirect holding in Hospitality from 28.37% to 30.27%.

Southern Sun Hotels Proprietary Limited, Hospitality’s majority shareholder at 59.15%, is wholly owned by Tsogo
Sun Holdings Limited (“TSH”). HCI increased its beneficial interest in TSH from 47.61% to 51.18%, which resulted
in the above increase in HCI’s indirect holding in Hospitality.

As required in terms of section 122(3)(a) of the Companies Act, Hospitality has filed the required notice with the
Takeover Regulation Panel.
