Pursuant to the King IV Report, it is considered good corporate governance practice for a board of
directors to appoint from its members a lead independent director, irrespective of the independence
of the chairman of the board. Accordingly, the Trencor board has appointed Roddy Sparks,
independent non-executive director, as lead independent director with effect from 19 December
2017.
