Notice is hereby given that, in terms of the provisions of section 45(5)(a) of the Companies ActNo.71 of 2008 (“the Companies Act”) 
and pursuant to the Special Resolution passed at the Annual General Meeting of the Company held on 25 January 2017 authorising the 
Board of Directors (“the Board”) to provide direct and indirect financial assistance to current and future subsidiaries and to 
associated companies of the Company.

The Board adopted a resolution on 11 December 2017 ratifying the provision of financial assistance in terms of section 45 of the 
Companies Act (“financial assistance”) by way of a loan of R6m to the controlling shareholder, Eastern Trading Proprietary Limited 
for the purpose of partially funding the tomato out-grower scheme in the Limpopo Province, which will be settled through the purchasing 
of tomato paste by AH Vest, securing the local supply of tomato paste and reducing the company’s exposure to imports and foreign exchange
risk.

In addition, in accordance with section 45(3)(b) of the Act, the board has satisfied itself that immediately after providing financial 
assistance, the Company satisfied the solvency and liquidity test set out in section 4(1) of the Act.
