NOTIFICATION OF WITHDRAWAL OF CRH PLC AND FURTHER CAUTIONARY ANNOUNCEMENT

PPC shareholders are referred to the announcement published by PPC on SENS
on 13 November 2017 advising that it had received a non-binding expression
of interest from CRH plc (“CRH”), indicating that CRH was considering
submitting an all-cash proposal to acquire a controlling stake in PPC.

Following receipt of CRH’s initial expression of interest, the independent
board of PPC (“Independent Board”) permitted CRH to conduct an initial due
diligence of PPC in order that it may submit, should it resolve to do so, an
updated expression of interest to PPC, which would include a value per share
for PPC.

PPC shareholders are advised that on 4 December 2017, CRH formally advised
PPC that CRH has decided not to submit an updated expression of interest and
therefore considers it appropriate to withdraw from the Independent Board’s
process.

Renewal of cautionary

Given that the Takeover Regulation Panel has granted Fairfax Africa
Investments Proprietary Limited an extension of the date by which it is
required to post its partial offer circular until 12 December 2017, and that
the Independent Board continues to engage with LafargeHolcim in respect of
its approach, PPC shareholders are advised to continue to exercise caution
when dealing in securities of PPC until a further announcement is made.
