RESULTS OF MEETINGS OF THE HOLDERS OF ALL THE OUTSTANDING GROUP 1 NOTES,
SERIES 7 NOTES AND SERIES 22 NOTES ISSUED BY VUKILE UNDER ITS R5 000 000 000
DOMESTIC MEDIUM TERM NOTE PROGRAMME


Noteholders are advised that at the meetings of Vukile noteholders held on 29 September 2017, the
following resolutions were proposed and passed by the requisite majority of noteholders:

MEETING OF THE GROUP 1 NOTEHOLDERS (VKE06, VKE07, VKE09 AND VKE10)

Extraordinary Resolution 1 of Group 1 noteholders - Amendment of the loan to valuation ratio (Group 1) of
the Group 1 Property Portfolio:

-    Consent for amendment to the threshold of the loan to valuation ratio (Group 1) of the Group 1
     property portfolio from 40% to 45%.

The results of the voting on Extraordinary Resolution 1 of Group 1 are set out below:

-    Passed by noteholders representing 72% of the votes cast with respect to all Group 1 Notes issued by
     the Issuer;
-    the amount of noteholders who voted against Extraordinary Resolution 1 represents 28%; and
-    the amount of noteholders who elected to abstain from voting in respect of Extraordinary Resolution 1
     represents 0%.


MEETING OF SERIES 07 (VKE05) NOTEHOLDERS

Extraordinary Resolutions 1 and 2 of Series 07 (VKE05) noteholders - Amendments to the terms and
conditions of all the VKE05 Notes issued by the Issuer:

1.   Consent for amendment to the threshold of the loan to valuation ratio of the Vukile group property
     portfolio from 45% to 50%; and
2.   to include the market value of equity accounted investments to this calculation.

The results of the voting on Extraordinary Resolutions 1 and 2 of Series 07 (VKE05) are set out below:

-    Passed by noteholders representing 75% of the votes cast with respect to all VKE05 Notes issued by
     the Issuer;
-    the amount of noteholders who voted against Extraordinary Resolutions 1 and 2 of Series 07 (VKE05)
     represents 15%; and
-    the amount of noteholders who elected to abstain from voting in respect of Extraordinary Resolutions
     1 and 2 of Series 07 (VKE05) represents 10%.
MEETING OF SERIES 22 (VKE08) NOTEHOLDERS

Extraordinary Resolutions 1 and 2 of Series 22 (VKE08) noteholders – Amendments to the terms and
conditions of all the VKE08 Notes issued by the Issuer:

1.   Consent for amendment to the threshold of the loan to valuation ratio of the Vukile group property
     portfolio from 45% to 50%; and
2.   to include the market value of equity accounted investments to this calculation.

The results of the voting on Extraordinary Resolutions 1 and 2 of Series 22 (VKE08) are set out below:

-    Passed by noteholders representing 100% of the votes cast with respect to all VKE08 Notes issued by
     the Issuer;
-    the amount of noteholders who voted against Extraordinary Resolutions 1 and 2 of Series 22 (VKE08)
     represents 0%; and
-    the amount of noteholders who elected to abstain from voting in respect of Extraordinary Resolutions
     1 and 2 of Series 22 (VKE08) represents 0%.
