NOTICE OF MEETINGS OF THE HOLDERS OF ALL THE OUTSTANDING GROUP 1 NOTES,
SERIES 7 NOTES AND SERIES 22 NOTES ISSUED BY VUKILE UNDER ITS R5 000 000 000
DOMESTIC MEDIUM TERM NOTE PROGRAMME


Vukile hereby gives notice that, pursuant to Condition 19 of the Terms and Conditions of the Group 1 Notes,
the series 7 and the Series 22 notes, a meeting of the holders of all the outstanding senior secured Notes
issued by the Issuer under its R5 000 000 000 domestic medium term note programme (the “Noteholders”),
being the Notes of Group 1 and Series 7, 14, 15, 22, 27 and 28 held under Stock Codes VKE05, VKE06,
VKE07, VKE08, VKE09 and VKE10, respectively (the “Notes”), will be held on 29 September 2017 at
14h00 at the offices of Vukile, One-on-Ninth, Corner Glenhove Road and 9th Street, Melrose Estate,
Johannesburg, 2121 (the “Noteholders Meeting”). The purpose of Noteholders Meeting is for Noteholders
to consider and, if deemed fit, pass with or without modification, the extraordinary resolutions set out in the
notices of meeting (dispatched to noteholders on 4 September 2017 and available on the company’s website
www.vukile.co.za), as detailed below:

Group 1 Notes:
-     approval of the amendment of the loan to valuation ratio to a maximum of 45% based on the most
      recent Open Market Valuation.

Series 7 Notes:
-     approval of the amendment of the threshold of loan to valuation ratio of the Vukile Group Property
      Portfolio to a maximum of 50% based on the most recent Open Market Valuation; and
-     approval of the amendment of the loan to valuation ratio .

Series 22 Notes:
-     approval of the amendment of the threshold of loan to valuation ratio of the Vukile Group Property
      Portfolio to a maximum of 50% based on the most recent Open Market Valuation; and
-     approval of the amendment of the loan to valuation ratio.
