Scheme of Arrangement and Withdrawal of Cautionary

Pursuant to the previous cautionary statements published by the Company in connection with its
proposed Creditors’ Scheme of Arrangement (“the transaction”), Hwange Colliery Company Limited (“the
Company”) advises that the transaction has been concluded and the cautionary is withdrawn.

The Company notifies all its stakeholders that the Creditors’ Scheme of Arrangement meeting was held at
Chapman Golf Club, Harare on Wednesday 26th April 2017. The outcome of the meeting shall be
published in due course by the Chairman of the Scheme, Mr A. Lawson.

The Company shall also publish a press statement related to the transaction now closed.
