Dealings in securities by a director of the company and by an associate of a director of the company PEREGRINE HOLDINGS LIMITED (Incorporated in the Republic of South Africa) (Registration number 1994/006026/06) JSE share code: PGR ISIN: ZAE000078127 (“Peregrine” or “the company”) DEALINGS IN SECURITIES BY A DIRECTOR OF THE COMPANY AND BY AN ASSOCIATE OF A DIRECTOR OF THE COMPANY Shareholders are referred to the announcement released on SENS on 12 August 2015 wherein shareholders were advised that Jonathan Hertz (“Hertz”), a director of the company, and the Robert & Dawn Katz Family Trust (“the Trust”), an associate of Robert Katz, a director of the company, had entered into a zero-cost collar hedge (the “collar”), each in respect of 500 000 Peregrine shares, which collar would settle in 2 equal tranches of 250 000 Peregrine shares each on 14 July 2017 and 21 July 2017, each option in respect thereof having a put strike price of R32.50 and a call strike price of R40.30. Shareholders are accordingly advised that as the closing share price of Peregrine shares on 21 July 2017, being R30.40, was lower than the put strike price of R32.50: - the collar entered into by Hertz was automatically settled off-market by the retention of 250 000 Peregrine shares by the relevant counterparty (which held them pursuant to a pledge and securities loan arrangement) under the collar and payment to Hertz in cash of the put strike price of R32.50, being in aggregate R8 125 000.00; and - the collar entered into by the Trust was settled off-market by the return of 250 000 Peregrine shares at a price of R30.40 per share and payment of the balance of R525 000.00 in cash to the Trust.
