Finalisation announcement in respect of the Sygnia Rights Offer
1. Introduction
Sygnia Shareholders (“Shareholders”) are referred to the announcement released on the Stock
Exchange News Services (“SENS”) of the JSE Limited on 11 July 2017, wherein Shareholders
were advised that Sygnia has resolved to pursue a partially underwritten renounceable rights offer
of 17 777 778 ordinary shares (“Rights Offer Shares”) at a price of R9.00 per Rights Offer Share
in the ratio of 12.95964 Rights Offer Shares for every 100 Sygnia ordinary shares (“Ordinary
Shares”) held, whereby the Company intends to raise R160 000 000 from existing Shareholders
at the close of business on Friday, 28 July 2017 (“the Rights Offer”).
The terms of the Rights Offer have now been finalised.
2. Rights Offer Circular
The Rights Offer circular containing full particulars of the Rights Offer and accompanying form of
instruction (“the Circular”) for use by certificated Shareholders will be available on the Company’s
website from Tuesday, 25 July 2017 and posted to certificated Shareholders on 27 July 2017.
Certificated Shareholders must complete the form of instruction and lodge it with the transfer
secretaries indicating how they wish to participate in the Rights Offer.
The Circular will be distributed on Tuesday, 1 August 2017 to dematerialised Shareholders (who
have elected to receive such documents) recorded in the share register on Friday, 28 July 2017.
Dematerialised Shareholders will not receive a printed form of instruction, but will have their
accounts updated with their Rights Offer entitlement by their Central Securities Depository
Participant (“CSDP”) or broker. Holders of dematerialised Ordinary Shares are required to notify
their CSDP or broker of the action they wish to take in respect of the Rights Offer in the manner
and by the time stipulated in the agreement governing the relationship between the dematerialised
Shareholder and their CSDP or broker.
3. Important dates and times
Last day to trade in Ordinary Shares in order to settle trades by the
record date for the Rights Offer and to qualify to participate in the
Rights Offer Tuesday, 25 July 2017
