CHANGE OF CAPACITY OF DIRECTOR
In accordance with rules 3.59 and 3.84 (c) of the Listings Requirements of the JSE Limited (“JSE”),
shareholders are hereby advised of the following change to the capacity of a director of Tiso Blackstar:
The capacity of Mr Andrew David Bonamour (“Andrew”) has changed from non-executive director to chief
executive officer (“CEO”) with effect from 17, July 2017. The board is pleased to announce this
appointment which has culminated as a result of the Company’s change in status from an Investment
Entity to a consolidated group, its migration to the UK and in light of the fact that Andrew is the CEO of
the Company’s investment advisor Tiso Blackstar SA Proprietary Limited as well as CEO of the Group’s
core business Tiso Blackstar Group Proprietary Limited (previously Times Media Proprietary Limited)
Andrew is the founder of Blackstar (now named Tiso Blackstar). Andrew previously worked at Brait SA
Limited (“Brait”) where he held positions in investment banking, principal investment divisions and
corporate finance. At Brait, Andrew originated and played a lead role in a variety of transactions ranging
from leveraged buyouts, mergers and acquisitions, capital replacements and restructurings. Andrew has
an in-depth knowledge of, and experience in, corporate finance, private equity and investment banking.
Andrew holds a Bachelor of Commerce degree.
The board of Tiso Blackstar welcome the appointment of Andrew as CEO of the holding company and
looks forward to his continued valued contribution.
