INTRODUCTION 1.1 Shareholders are referred to RH Bophelo’s pre-listing statement dated 5 July 2017 (“PLS”), as well as the Company’s abridged pre-listing statement announced on SENS on the same date, and are advised that the Company’s private placement closed at 12:00 on Friday, 7 July 2017, as per the previously announced timetable. Unless the context indicates to the contrary, capitalised terms not defined herein shall bear the meaning ascribed thereto in the PLS. 2. CLOSE OF THE OFFER 2.1 RH Bophelo successfully raised R500 000 000 through the issue of 50 000 000 new shares in RH Bophelo to Invited Investors. 2.2 The above placement of new shares with Invited Investors occurred at a price of R10.00 per share. 2.3 Following the issue of the new shares, the Company shall have 50 000 000 shares in issue. 2.4 RH Bophelo’s listing on the main board of the JSE will commence on Wednesday, 12 July 2017 under the “Non-Equity Investment Instruments” section of the JSE. 2.5 Following the proposed listing of RH Bophelo as a SPAC, RH Bophelo will seek to acquire Viable Assets as detailed in the PLS, which acquisition will be subject to Shareholder approval. 3.
