Proposed changes to the board of directors and appointments to committees Sun International Limited (Registration number 1967/007528/06) (Incorporated in the Republic of South Africa) Share code: SUI ISIN: ZAE000097580 (“Sun International” or “the Company”) PROPOSED CHANGES TO THE BOARD OF DIRECTORS AND APPOINTMENTS TO COMMITTEES In compliance with paragraph 3.59 of the Listings Requirements of the JSE and following the deliberations and approval of the Company’s nomination committee and board respectively, shareholders are advised as follows: On 31 December 2017, Sun International’s lead independent director, Mr IN Matthews, will be retiring from the Company’s board and various committees and will be succeeded by Mr PL Campher as the new lead independent director of the Company and chairman of the Sun International remuneration committee, with effect from 1 January 2018. Similarly, Mr GR Rosenthal, the current chairman of the Company’s audit committee has indicated that he will be retiring as a director of Sun International at the 2018 Annual General Meeting, and will be succeeded by Ms CM Henry, an independent non–executive director and current member of the Sun International audit committee, as the new chairman of the audit committee. Furthermore and with effect from 14 June 2017, Mr EAMMG Cibie was appointed as a member of both the Company’s remuneration and audit committees. Mr Cibie who is an independent non- executive director on the Sun International board, is a qualified chartered accountant and serves as a Sun International representative on the Sun Dreams board in Chile, as well as chairs the Sun Dreams financial review and risk committee Shareholders are further advised that Dr NN Gwagwa was appointed as an additional member of the Company’s nomination committee, with effect from 13 June 2017.
