CHAIRMAN AND COMPANY SECRETARY CHANGES

In compliance with the JSE Limited Listings Requirements,
Alexander Forbes announces the retirement of the Non-Executive
Chairman of the board, Mr Sello Moloko, with effect from 31 August
2017. The Board has appointed his successor, independent non-
executive director Mr Moses Kgosana as the Independent Chairman
with effect from the same date.

The Company also announces the resignation of Ms Janice Salvado,
Group Company Secretary, with effect from 30 June 2017. Ms Salvado
leaves the Group after 18 years’ service in order to pursue other
opportunities but has agreed to continue to stay with the Group in
an advisory capacity to provide counsel as needed. Ms Carina
Wessels joins the Company as Group Company Secretary with effect
from 1 October 2017 from Exxaro Resources Limited.

Mr Moloko is retiring after almost 10 years distinguished service,
during which time he provided wisdom, fiduciary counsel and
strategic direction to both the board and the Executive Committee.
The board is grateful to have benefited from his expertise and
wishes him well for the future.
Mr Moloko said, “Together with the board and executive management
team, I am proud to have steered the Group through a challenging
yet transformative decade during which time we experienced the
global financial crisis, significant private equity investment,
the Group’s re-listing on the Johannesburg Stock Exchange, and the
securing of Mercer as a strategic shareholder. More recently, I
have witnessed the investment into the Group by an empowerment
shareholder, Africa Rainbow Capital, as well as leading the search
and recruitment of a globally experienced Group Chief Executive,
Mr Andrew Darfoor.   Alexander Forbes will continue to be a place
of significance, since I have forged enduring relationships with
many of its talented people.”
Mr Moloko is the co-founder and chairman of the Thesele Group, a
black-owned investment holding company. In the past two years, it
has seen significant growth and will be a critical focus for him
and his business partners.
The incoming Chairman Mr Kgosana, paid tribute to Mr Moloko who
led the Group to achieve these significant milestones, as well as
the Group’s growth ambitions during the past 10 years.      "I am
privileged to be handed the reins of a company such as Alexander
Forbes with a strong heritage and market leading history in the
financial services sector.    Underpinning my confidence in the
Group is the recently appointed Group Chief Executive, Mr Andrew
Darfoor, who has forged a renewed vision and strategic path for
the Group which will take it into a 5 year growth period.
Mr Kgosana manages his own investment property company and has
extensive   expertise   across  financial   services,  industrial,
telecoms, mining, technology and consumer markets.      Mr Kgosana
previously served as the Chief Executive and Senior Partner of
KPMG South Africa and a member of the KPMG international board. He
is a chartered accountant (SA) by profession.
Andrew A Darfoor, Group Chief Executive supported this by saying,
“In the past few months, I am proud to have partnered with Mr
Moloko and the board to re-focus the Group on executing on its
strategic transformation for the next 5 years. I welcome Mr Moses
Kgosana as the new Chairman”.

The Group Chief Executive and the board noted its thanks to Ms
Salvado for her contribution to the Group and various stakeholders
as well as her input, guidance and advice in delivering on the
company secretarial mandate.
