The proposed special resolution number 3 seeks approval pursuant to section 41 of the Companies Act, 71 of 2008 (“the Companies Act”) to issue shares or grant options or grant any other rights exercisable for shares to directors or prescribed officers of the company pursuant to the Consolidated Infrastructure Group Limited 2014 Share Plan (“the Share Plan”).
