CHANGE IN THE NATURE OF ASSOCIATES’ HOLDINGS OF THE COMPANY’S SECURITIES
Shareholders are advised that on [10] February 2017 Ellerine Bros Proprietary Limited (“Ellerine Bros”)
transferred 19 270 074 Newpark shares to Ellvest Proprietary Limited (“Ellvest”) (for a total value of
R121 016 064.72) and transferred a further 12 846 715 Newpark shares to Ellerine Group Investments
Proprietary Limited (“Ellerine Group Investments”) (for a total value of R80 677 370.20) at R6.28 per
share.
Ellerine Bros is an associate of both Dionne Ellerine and Kevin Ellerine, who are directors of Newpark.
Ellvest is an associate of Dionne Ellerine and Ellerine Group Investments is an associate of Kevin Ellerine
due to their indirect beneficial interest in Ellvest and Ellerine Group Investments respectively. There is no
change in the indirect beneficial interests of Dionne Ellerine and Kevin Ellerine in Newpark shares. These
transactions were conducted off-market and clearance to deal although not required, was obtained.
