Redemption of Tier II Capital Notes

On 23 January 2012, The Standard Bank of South Africa Limited
(“Standard   Bank”)   issued  ZAR   1,220,000,000  Subordinated
Unsecured Notes which qualified as Tier II capital (the “SBK 15
Notes”).
The SBK 15 Notes are subject to the terms and conditions
contained in the Programme Memorandum dated 1 December 2010 (the
“Programme Memorandum”) as read together with the Applicable
Pricing Supplement issued in respect of the SBK 15 Notes dated
18 January 2012 (the “Applicable Pricing Supplement”).
In terms of the Applicable Pricing Supplement, the SBK 15 Notes
mature on 23 January 2022, however, they are redeemable at the
option of Standard Bank on 23 January 2017, subject to the prior
written approval of the Registrar of Banks.
Pursuant to Condition 51(a) of the Applicable Pricing Supplement
and after having obtained the requisite prior written approval
from the Registrar of Banks, Standard Bank hereby gives notice
that it shall redeem the SBK 15 Notes on 23 January 2017 at the
face value thereof, together with any interest accrued thereon
up until that date.
