Posting of circular and notice of scheme meeting
Shareholders are referred to the various previous SENS announcements in respect of the proposed
delisting of Gooderson following the approval and implementation of a scheme of arrangement in
terms of section 114 of the Companies Act, 2008 and an offer to all remaining shareholders.
Shareholders are advised that a circular, incorporating a notice of a scheme meeting to be held at
10h00 on Thursday, 22 December 2016, at the Tropicana Hotel, 85 O.R. Tambo (Marine) Parade,
Durban has been mailed to shareholders.
A copy of the circular is available on the company’s website, www.goodersonleisure.co.za.

Record date to be eligible to vote at the scheme meeting Thursday, 15 December
Last date for receipt of forms of proxy for the scheme meeting by

Dissenting shareholder wishing to exercise his appraisal rights,
notifies the company of his objection by 10:00 on Thursday, 22 December
Scheme meeting to be held at 10:00 on Thursday, 22 December
Results of the scheme meeting released on SENS on Thursday, 22 December
Results of scheme meeting published in the press Friday, 23 December

Last day for a dissenting shareholder to require GLC to apply to
court for approval of the scheme in terms of section 115(3)(a) of
the Act on Wednesday, 4 January 2017

Last day for a dissenting shareholder to apply to court for leave to
apply for review of the scheme in terms of section 115(3)(b) of the
Act on Wednesday, 11 January
Last day for GLC to send dissenting shareholders notices of the
adoption of the scheme resolution in terms of section 164 of the
Act on Wednesday, 11 January
Last day for dissenting shareholders to demand that GLC
acquires his/her shares at fair value, in accordance with section
164 of the Act on Monday, 6 February
Receive compliance certificate from TRP on Tuesday, 7 February
Expected finalisation announcement before 11h00 on Tuesday, 14 February
Last day to trade for shareholders wishing to receive the scheme
consideration Tuesday, 21 February
Expected date of suspension of the listing of GLC shares on the
JSE Wednesday, 22 February
Expected scheme record date Friday, 24 February
Expected scheme payment date Monday, 27 February
Expected date of termination of the listing of GLC’s shares at the
commencement of trade on the JSE on Tuesday, 28 February

2. The above dates and times are all subject to change by mutual agreement between GLC and Alju
and the approval/s of the TRP and JSE. Any amendment will be released on SENS.
