VOLUNTARY ANNOUNCEMENT - DISPOSAL OF GENREC TO NISELA CAPITAL

Further to the announcement released on 12 October 2016 on the Stock Exchange News
Service of the JSE Limited, regarding the potential disposal of Genrec, shareholders are
advised that the business has been sold to Nisela Capital, an asset management, private
equity and advisory firm, for the consideration of R185 million (“the Transaction”). The
Transaction is still subject to certain conditions precedent and regulatory approvals. The
Transaction is not classified as a categorised transaction, according to section 9 of the JSE
Listings Requirements.

Genrec was the last remaining manufacturing business in the Group’s portfolio of
businesses. Murray & Roberts believes that the Transaction is in the best interests of the
long-term sustainability of both the Group and its long-term strategy to focus on the global
natural resources markets, as well as Genrec.
