NO CHANGE STATEMENT AND NOTICE OF ANNUAL GENERAL MEETING

No change statement
With regard to the audited results for the year ended 30 June
2016, shareholders are advised that the annual financial
statements will be distributed to shareholders today, 21 September
2016 and contain no modifications to the audited results which
were published on SENS on 31 August 2016.

Notice of the annual general meeting
Notice is hereby given that the 28th annual general meeting of
Distell shareholders will be held on Thursday, 20 October 2016 at
10:00 at The House of J.C. Le Roux, Devon Valley Road, Devon
Valley, Stellenbosch, Western Cape to transact the business as
stated in the annual general meeting notice forming part of the
annual financial statements.

Salient dates
The notice of the Company’s annual general meeting has been sent
to its shareholders who were recorded as such in the Company’s
securities register on Friday, 9 September 2016 being the notice
record date used to determine which shareholders are entitled to
receive notice of the annual general meeting.

The record date, for the purpose of determining which shareholders
of the Company are entitled to receive notice of the annual
general meeting is Friday, 9 September 2016, and in terms of
section 59(1)(b) of the Companies Act, the record date for
purposes of determining which shareholders of the Company are
entitled to participate in and vote at the annual general meeting,
is Friday, 14 October 2016. Accordingly, the last day to trade in
order to be registered in the register of members of the Company
and therefore be eligible to participate in and vote at the annual
general meeting is Tuesday, 11 October 2016.
