Redemption of SBK 13 Tier II Capital Notes


On 24 November 2009, The Standard Bank of South Africa Limited
(“Standard   Bank”)   issued  ZAR   1,150,000,000  Subordinated
Unsecured Notes which qualified as Tier II capital (the “SBK 13
Notes”).
The SBK 13 Notes are subject to the terms and conditions
contained in the Programme Memorandum dated 29 October 2008 (the
“Programme Memorandum”) as read together with the Applicable
Pricing Supplement issued in respect of the SBK 13 Notes dated
19 November 2009 (the “Applicable Pricing Supplement”).
In terms of the Applicable Pricing Supplement, the SBK 13 Notes
mature on 24 November 2021, however, they are redeemable at the
option of Standard Bank on 24 November 2016, subject to the
prior written approval of the Registrar of Banks.
Pursuant to Condition 47(a) of the Applicable Pricing Supplement
and after having obtained the requisite prior written approval
from the Registrar of Banks, Standard Bank hereby gives notice
that it shall redeem the SBK 13 Notes on 24 November 2016 at the
face value thereof, together with any interest accrued thereon
up until that date.
