DEALINGS IN SECURITIES BY A DIRECTOR OF A MAJOR SUBSIDIARY OF CONSOLIDATED INFRASTRUCTURE


Shareholders are referred to the announcement released on SENS on 11 July 2014 wherein shareholders were
advised that Siluleko Gesha (“Gesha”), a director of Consolidated Power Holdings (Pty) Ltd, a major
subsidiary of the company, had entered into a zero-cost collar hedge, in respect of in aggregate 500 000
Consolidated Infrastructure shares, which zero-cost collar hedge would settle in two equal tranches of 250 000
Consolidated Infrastructure shares each with settlement dates of 1 September 2016 and 15 September 2016,
each option in respect thereof having a put strike price of R28.60 and a call strike price of R36.05(“the Gesha
collar”). As the share price of the Consolidated Infrastructure shares at 1 September 2016 was less than the put
strike price of R28.60, the Gesha collar was automatically settled off-market by the retention of in aggregate
250 000 shares by the relevant counterparty under the Gesha collar (who held them pursuant to a pledge and
securities loan arrangement) and payment to Gesha in cash of the put strike price, being in aggregate R7 150
000.00.
