DISCLOSURE OF SIGNIFICANT HOLDING OF WOOLWORTHS HOLDINGS ORDINARY
SHARES

In accordance with the provisions of paragraph 3.83(b) of the JSE Limited Listings
Requirements and section 122(3) of the Companies Act 71 of 2008, as amended (“the Act”)
shareholders are advised of the following:

On 9 February 2016, the company announced that Lazard Asset Management’s (“Lazard”)
accounts under its management had increased its holding in the company to 5.13% of the total
issued shares. During the same month, the company received formal notification that Lazard’s
interest in the company had reduced to 4.77%. As the disposal constituted less than 1% of the
total issued ordinary shares of Woolworths Holdings, no shareholder notification was required in
terms of the Act.

Shareholders are now advised that the company has received formal notification that accounts
under its management has again increased Lazard’s holding in the company, such that it now
holds 5.00% of the total issued ordinary shares in Woolworths Holdings.

As required in terms of section 122(3)(a) of the Act, the company has filed the required notice
with the Takeover Regulation Panel.
