ISSUE OF NEW SHARES PURSUANT TO THE ROCKCASTLE SHARE PURCHASE SCHEME
Shareholders are advised that 483 000 new Rockcastle shares (the “new Rockcastle shares”) are to be issued at a
price of USD2.54 per share on 31 August 2016 pursuant to the Rockcastle Share Purchase Scheme (the “Scheme”)
that was approved by the shareholders on 13 July 2015. The new Rockcastle shares have been issued through the
Company’s Mauritian register.
The Board wishes to remind the shareholders that the Scheme was approved by the Johannesburg Stock Exchange
(“JSE”) and the Listing Executive Committee of the Stock Exchange of Mauritius Ltd (“SEM”) on 2 June 2015 and
11 June 2015 respectively and that it permits 42 393 101 Rockcastle shares as the maximum number of shares that can
be offered for subscription on a periodic basis.
The new Rockcastle shares are expected to list and trade on the JSE and SEM from 31 August 2016.
Recipients of the new Rockcastle shares will have their CDS accounts credited on or about 31 August 2016.
Following the issue of the new Rockcastle shares, the Company will have a total of 931 477 319 shares in issue.
Rockcastle has its primary listings on both the SEM and the Main Board of the JSE.
