Proposed changes to the Board of Directors Sephaku Holdings Limited (Incorporated in the Republic of South Africa) (Registration number: 2005/003306/06) Share code: SEP ISIN: ZAE000138459 (“Sephaku Holdings” or “the Company”) PROPOSED CHANGES TO THE BOARD OF DIRECTORS In terms of section 3.59 of the Listings Requirements of the JSE Limited, shareholders are advised of the following changes to the board of directors of Sephaku Holdings (“the Board”): Retirement of independent non-executive director Shareholders are hereby advised that Mr. MG Mahlare, an independent non-executive director, will retire at the Sephaku Holdings annual general meeting (“AGM”), which is expected to be held on 22 September 2016. Mr. MG Mahlare has served on the Board as chairman of the audit and risk committee for three consecutive terms. In terms of the Sephaku Holdings Memorandum of Incorporation he is not eligible for re-election. Accordingly Mr. MG Mahlare will resign from the Board and audit committee with effect from the date of the AGM. The Board would like to thank Mr. MG Mahlare for his contribution to the Company during his tenure as an independent non-executive director and chairman of the audit committee and wishes him well in his future pursuits. Appointment of independent non-executive director and chairman of the audit and risk committee The Board is pleased to announce that Mrs. MJ Janse van Rensburg has been recommended for appointment as an independent non-executive director of Sephaku Holdings and chairman of the audit and risk committee. Mrs. MJ Janse van Rensburg’s appointment will, subject to receipt of the necessary shareholder approval being received at the AGM, be effective from the date of the AGM. Mrs. MJ Janse van Rensburg served as Chief Financial Officer and, later, Chief Executive Officer at the Trans Caledon Tunnel Authority between 1994 and 2008. Subsequent thereto, she served as a non-executive director for the Bond Exchange of South Africa, the Airports Company of South Africa, the Johannesburg Water Department and Denel, during which time she also fulfilled the role of a member or chairman of the respective audit committees. She is currently a non-executive director of the Development Bank of South Africa and a non-executive member of the Credit Committee overseeing Africa and India at First National Bank.
