EXTENSION TO POSTING OF THE RESPONSE CIRCULAR
Unless otherwise indicated, capitalised words and terms contained in this announcement shall bear the same
meanings ascribed thereto in the announcement published by Sovereign on SENS on Friday, 22 July 2016
(“Announcement”).
Shareholders are referred to the Announcement, whereby Shareholders were advised that the Response
Circular was expected to be posted to Shareholders on or about Wednesday, 10 August 2016, being the 20th
business day after the posting of the Offer Circular (“Prescribed Timeline”), in terms of Regulation 102(9).
The Independent Board has sought an extension to the Prescribed Timeline in order to inter alia afford the
independent expert appointed by the Independent Board sufficient time to complete the fair and reasonable
opinion in respect of the Offer Consideration and to ensure that the information provided to Shareholders in the
Response Circular will enable Shareholders to make an informed decision in respect of the Offer. Shareholders
are hereby advised that the Independent Board has received an exemption from the Takeover Regulation Panel
("TRP") from compliance with the Prescribed Timeline.
In accordance with the exemption granted by the TRP, the Response Circular will be posted to Shareholders
by no later than Friday, 19 August 2016.
Shareholders should not take any action concerning the Offer until such time as they have considered the
Response Circular.
