CHANGE IN DIRECTORATE
In terms of paragraph 3.59 of the JSE Limited Listings Requirements notice is hereby given that
Mr Rex Tomlinson has resigned from and Mr Mahomed Salim Ismail Gani has been appointed
to the board of directors of Tsogo Sun (“the Board”), with immediate effect.
Mr Tomlinson’s resignation is due to his commitments in terms of his appointment to the group
executive committee of Old Mutual plc. He served as lead independent non-executive director,
Chairman of the Audit and Risk Committee and the Social and Ethics Committee and a member
of the Remuneration Committee from February 2011 and the Group thanks him for his valued
contribution and guidance.
Mr Gani will join the Board as an independent non-executive director and has been appointed
as a member and Chairman of the Audit and Risk Committee and as a member and Chairman
of the Social and Ethics Committee, and as a member of the Remuneration Committee. Mr Gani
is a Chartered Accountant, was a founding partner of MSGM Masuku Jeena Inc., a partner of
Saboor Gani & Co and a partner of PricewaterhouseCoopers until 2013. He has over 30 years
of experience in the accounting and audit profession. He currently serves as a non-executive
director on a number of boards including Basil Read Holdings Limited and is on the
Investigating Committee of the Independent Regulatory Board of Auditors (IRBA). The Group
welcomes Mr Gani and looks forward to his contribution.
Mrs Busi Mabuza, who joined the Board in June 2014, has been appointed as lead independent
non-executive director of the Board and as a member of the Social and Ethics Committee and
the Remuneration Committee. The Board wishes to thank Mrs Mabuza for agreeing to assume
these additional responsibilities.
