RESULTS OF THE SA PRIVATE PLACEMENT AND SECONDARY INWARD LISTING ON THE ALTERNATIVE EXCHANGE OF THE JSE


Investors are referred to Universal Partners’ pre-listing statement issued on 4 August 2016 (the “pre-listing statement”) as well as to
the announcement released on SENS and on the website of the Stock Echange of Mauritius Ltd (“SEM”) on 4 August 2016, which
included the company’s abridged pre-listing statement, detailing an offer to invited investors to subscribe for ordinary shares of no par
value (the “SA private placement”) and the subsequent listing of all the issued shares of the company by way of a secondary inward
listing on the Alternative Exchange (“AltX”) of the JSE.

Universal Partners has successfully raised GBP 72 million through the SA private placement. Shares subscribed for on the company’s
South African register will be issued at an issue price of ZAR18.07070 per share, being the ZAR equivalent of GBP1.00 converted at
the exchange rate secured by the company for the conversion of the proceeds of the capital raised in South Africa. Shares subscribed
for on the company’s Mauritian register will be issued at an issue price of GBP1.00 per share.

Successful applicants under the SA private placement will be advised of their allocation of Universal Partners shares by no later than
Friday, 5 August 2016. For participants on the South African register, allocated shares will be issued to successful applicants on a
‘delivery-versus-payment’ basis on the date of listing, being Thursday, 11 August 2016. For participants on the Mauritian register,
allocated shares will be issued to successful applicants on Thursday, 11 August 2016, subject to confirmation of payment into the
company’s nominated bank account.

A total of 72 350 131 Universal Partners shares (comprising the shares to be issued in terms of the SA private placement and the
existing shares in issue) will be listed on the AltX with effect from the commencement of trade on Thursday, 11 August 2016.
Universal Partners shares will trade on the JSE under the abbreviated name: “UPartners”, JSE share code: “UPL” and ISIN:
MU0526N00007.

Universal Partners will have its primary listing on the SEM with effect from Monday, 8 August 2016 and will have a secondary
listing on the AltX with effect from Thursday, 11 August 2016.
