Changes to the Board of Directors Ansys Limited (Incorporated in the Republic of South Africa) (Registration number: 1987/001222/06) (JSE code: ANS ISIN: ZAE000097028) (“Ansys” or “the Company”) Changes to the Board of Directors In compliance with section 3.59 (c) of the JSE Listings Requirements (“JSELR”), shareholders are advised of the following designation changes to the Board of Directors of Ansys with effect from 1 October 2016: - Rynier van der Watt, currently the Chief Executive in charge of Strategy, Mergers & Acquisitions, will be appointed as the Group Chief Executive Officer of Ansys; - Teddy Daka, currently the Group Chief Executive Officer, will be appointed as the Executive Chairperson of the Board; and - in compliance with and pursuant to paragraph 3.84(c) of the JSELR, Nonhlanhla Mjoli-Mncube, currently the Non-Executive Chairperson of the Board, will be appointed as the Lead Independent Non-Executive Director. Rynier van der Watt was one of the founder members and Chief Executive Officer of Parsec Holdings (Pty) Ltd (‘Parsec’) for 8 years. He was instrumental in the integration of Parsec and Ansys subsequent to the completion of the acquisition. Rynier is currently responsible for the strategy of Ansys, which entails the acquisition and integration of new businesses into the Ansys Group of companies, new venture management and the Company’s innovation strategy. Teddy Daka, appointed as the Interim Chief Executive Officer in June 2012, fulfilled the role of Group Chief Executive Officer of Ansys over the last four years. Teddy will return to his previous position, however as Executive Chairperson.
